Brokerage Terms

- You agree to the additional terms and conditions in Dynadot’s terms of use, as specified under https://www.dynadot.com/terms-of-use.html (“Terms of Use”) and amended by Dynadot from time to time without specific advance notice to You. All terms herein (“Brokerage Terms”) shall have the same definitions described under the Terms of Use.
- These Brokerage Terms may be amended by Dynadot from time to time without specific advance notice to You. The latest Brokerage Terms will be posted on this website, and you should review the Brokerage Terms prior to using this website or App.
- You hereby appoint Dynadot, and Dynadot accepts such appointment, to act as the exclusive independent sales representative of Your domain names (“Domains”), solely in accordance with the terms and conditions of these Brokerage Terms. You may not directly, or indirectly through other representatives, sell the Domains to any other party.
- Dynadot is an independent contractor pursuant to these Brokerage Terms. Nothing in these Brokerage Terms creates any agency, joint venture, partnership, or other form of joint enterprise, employment, or fiduciary relationship between the parties. Neither party has any express or implied right or authority to assume or create any obligations on behalf of, or in the name of, the other party or to bind the other party to any contract, agreement, or undertaking with any customer or other third party.
- Dynadot shall market, advertise, promote, and solicit the sale of the Domains to prospective and existing customers. Dynadot and its staff shall conduct themselves in a professional manner and shall engage in no activities which reflect adversely on You.
- A Domain shall be sold to any buyer for any price equal to or greater than the initial asking price specified by You elsewhere on this website or App.
- You shall provide Dynadot with any information and support about the Domains as may reasonably be requested by Dynadot to carry out its responsibilities hereunder.
- Dynadot shall earn commission for each completed sale of a Domain at a rate identified elsewhere on this website or App. Commission for each sale shall be payable upon the successful transfer of the respective Domain to the buyer.
- To the extent permitted by law, in no event shall either party be liable to the other, its agents, directors, employees or clients or to any third party in connection with these Brokerage Terms, whether under theory of contract, tort or otherwise, for any indirect, incidental, punitive, consequential, or special damages (including any damage to business reputation, lost profits or lost data), whether foreseeable or not and whether a party is advised of the possibility of such damages
- Each party will be excused from any delay or failure in performance hereunder, other than the payment of money, caused by reason of any occurrence or contingency beyond its reasonable control.
- These Brokerage Terms control the actions of all party representatives, officers, agents, employees and associated individuals. These Brokerage Terms shall be binding on the parties, and all successors to the foregoing.
- These Brokerage Terms shall be governed by the laws of the State of California, without regard to conflict of laws rules. The exclusive venues and jurisdictions for any and all disputes, claims and controversies arising from or relating to these Brokerage Terms shall be the United States District Court for the Northern District of California and the Superior Court of California, San Mateo County. Each party waives any objection (on the grounds of lack of jurisdiction, forum non conveniens or otherwise) to the exercise of such jurisdiction over it by any such courts. The United Nations Convention on Contracts for the International Sale of Goods will not apply to the interpretation or enforcement of these Brokerage Terms.
- In the event that any provision of these Brokerage Terms conflict with governing law or if any provision is held to be null, void or otherwise ineffective or invalid by a court of competent jurisdiction, such provision shall be deemed to be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable law, and the remaining terms, provisions, covenants and restrictions of these Brokerage Terms shall remain in full force and effect.
- No waiver of any breach of any provision of these Brokerage Terms shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.
- These Brokerage Terms constitute the entire agreement between the parties with respect to the subject-matter hereof and supersedes all prior and contemporaneous agreements or communications, including, without limitation, any quotations or proposals submitted by Dynadot.
